Terms of Use
These Terms of Use (the “Terms”) set forth the matters that users must comply with when using the Carez service provided by the Carez Operations Office (the “Operator”), as well as the rights and obligations between the Operator and users. Any person who wishes to use the service as a user must read these Terms in their entirety before agreeing to them. By agreeing to these Terms, a contract governing use of the Service in accordance with these Terms (the “Service Agreement”) is formed between the user and the Operator.
Applicability

The purpose of these Terms is to establish the rights and obligations between the Operator and Users (as defined in Article 2) in connection with use of the Service (as defined in Article 2). These Terms apply to all relationships between Users and the Operator relating to use of the Service.

Any rules, regulations, and other provisions concerning the Service that the Operator posts from time to time within the App (as defined in Article 2) constitute part of these Terms.
Definitions
The following terms used in these Terms have the meanings set forth below.
(1) “Intellectual Property Rights” means copyrights, patent rights, utility model rights, trademark rights, design rights, and all other intellectual property rights, including the rights to acquire such rights or to apply for registration or other protection of such rights.
(2) “App” means the application named Carez provided by the Operator, including the application following any change to its name, regardless of the reason for that change.
(3) “Posted Information” means the “Posted Information” defined in Article 9.
(4) “Registration Information” means the “Registration Information” defined in Article 3.
(5) “User” means an individual or legal entity that uses the Service.
(6) “Service” means the service named Carez provided by the Operator, including the service following any change to its name, regardless of the reason for that change.
(7) “External SNS Service” means a designated social networking service provided by Facebook or another provider that offers functions such as user authentication, disclosure of friendship relationships, and publication of content within the relevant external social network, and that is used in providing the Service.
(8) “External SNS Provider” means a provider of an External SNS Service.
(9) “External SNS Terms” means the terms and conditions governing the legal relationship between a User and an External SNS Provider.
Registration

The Operator may require a user to register in order to use the Service. In such a case, the User shall apply to the Operator for registration to use the Service by providing certain information designated by the Operator (the “Registration Information”) in the manner specified by the Operator.

An application for registration must be made by the individual or legal entity that will use the Service. As a general rule, applications made through a representative are not permitted. When applying for registration, the User must provide the Operator with information that is true, accurate, and current.

The Operator may refuse to register a User who has applied under paragraph 1 if any of the following circumstances applies:
(1) The Operator determines that there is a risk that the User will violate these Terms.
(2) All or any part of the Registration Information provided to the Operator is false, inaccurate, or incomplete.
(3) The applicant is a person whose registration to use the Service has previously been canceled.
(4) The applicant is under 18 years of age.
(5) The applicant is a minor, an adult ward, a person under curatorship, or a person under assistance and has not obtained the consent or other required authorization of a legal representative, guardian, curator, or assistant.
(6) The Operator determines that the applicant is an organized crime group or another antisocial force, including an organized crime group, a member of such a group, a right-wing organization, another antisocial force, or any equivalent person or entity (collectively, “Antisocial Forces”); cooperates or is involved in the maintenance, operation, or management of Antisocial Forces by providing funds or otherwise; or otherwise has any interaction or involvement with Antisocial Forces.
(7) The Operator otherwise determines that the registration would be inappropriate.
- If any Registration Information changes, the User shall notify the Operator of the change without delay in the manner specified by the Operator and submit any materials requested by the Operator.
Use of the Service

During the term of the Service Agreement, the User may use the Service in accordance with these Terms and in the manner specified by the Operator. If registration under the preceding Article is required, the User may use the Service only after the Operator has approved and completed the registration.

The Service is not intended to introduce persons of the opposite sex to one another. Users must not transmit information concerning the pursuit of opposite-sex relationships through the Service.
Management of Passwords and User IDs

The Operator may issue a password and User ID to a User. The User shall manage and retain the password and User ID at the User’s own responsibility and must not permit a third party to use them, lend or transfer them, change the registered holder’s name, buy or sell them, or otherwise dispose of them in a similar manner.

The User is responsible for any damage arising from inadequate management of a password or User ID, an error in their use, or their use by a third party. The Operator assumes no liability for such damage.

If the User discovers that a password or User ID has been stolen or is being used by a third party, the User shall immediately notify the Operator and follow the Operator’s instructions.
Prohibited Conduct
- When using the Service, a User must not engage in any of the following conduct:
(1) Conduct that infringes the Intellectual Property Rights, portrait rights, privacy rights, reputation, or other rights or interests of the Operator, another User, an External SNS Provider, or any other third party, including conduct that directly or indirectly causes such infringement.
(2) Conduct that discriminates against or defames the Operator, another User, an External SNS Provider, or any other third party, or that encourages such conduct.
(3) Conduct related to criminal activity or contrary to public order or morals.
(4) Transmitting obscene information, including nudity or intimate body parts; information constituting child pornography or child abuse; or information harmful to minors.
(5) Conduct intended to facilitate sexual intercourse, obscene acts, or similar conduct.
(6) Transmitting information concerning the pursuit of opposite-sex relationships.
(7) Inducing or assisting a minor to run away from home.
(8) Bullying or threatening another person, or inducing or encouraging such conduct.
(9) Transmitting information depicting cruelty or other information that causes discomfort to others.
(10) Transmitting information that is violent or encourages violence.
(11) Impersonating a third party or falsely claiming to have a partnership or cooperative relationship with a third party.
(12) Intentionally disseminating false information.
(13) Inducing or soliciting another person to commit suicide or self-harm.
(14) Engaging in spam, including indiscriminately sending messages to other Users.
(15) Publishing a third party’s address, telephone number, email address, date of birth, credit card information, or other information without that person’s permission.
(16) Conduct for sales, promotion, advertising, solicitation, or any other commercial purpose, except for conduct approved by the Operator.
(17) Violating any law or regulation, or any internal rule of an industry organization to which the Operator or the User belongs.
(18) Transmitting information containing a computer virus or other harmful computer program.
(19) Falsifying or altering information made available in connection with the Service.
(20) Transmitting through the Service data exceeding the capacity specified by the Operator or otherwise placing an excessive load on the Operator’s network.
(21) Conduct that may interfere with another User’s use of the Service or the Operator’s operation of the Service.
(22) Any other conduct that the Operator deems inappropriate.
- If the Operator determines that information transmitted by a User through the Service falls or may fall within any item of the preceding paragraph, the Operator may delete, modify, or take other action with respect to all or part of that information without prior notice to the User. The Operator assumes no liability for damage incurred by the User as a result of any action taken under this paragraph and has no obligation to take any such action.
Suspension or Interruption of the Service
- The Operator may suspend or interrupt all or part of the Service without prior notice to Users in any of the following circumstances:
(1) When regularly scheduled or emergency inspection or maintenance of computer systems relating to the Service is performed.
(2) When computers, communication lines, or other equipment cease operating due to an accident.
(3) When the Service cannot be operated due to fire, power outage, natural disaster, or other event of force majeure.
(4) When an External SNS Service experiences a problem, interruption or termination of service, discontinuation of integration with the Service, a change in specifications, or another similar event.
(5) When the Operator otherwise determines that suspension or interruption is necessary.

The Operator may discontinue provision of the Service at its discretion. In such a case, the Operator will notify Users in advance.

The Operator assumes no liability for damage incurred by a User as a result of any action taken by the Operator under this Article.
Equipment and Expenses

The User shall, at the User’s own expense and responsibility, prepare and maintain the smartphones and other equipment, communication lines, and other communications environment necessary to receive the Service.

The User shall, at the User’s own expense and responsibility, implement security measures appropriate to the environment in which the User uses the Service, including measures to prevent computer virus infections, unauthorized access, and information leakage.

Even if the Operator retains messages or other information transmitted or received by Users for a certain period for operational purposes, the Operator has no obligation to retain such information and may delete it at any time. The Operator assumes no liability for damage incurred by a User as a result of such deletion.

When installing the App or other software on a smartphone or other device when beginning or continuing to use the Service, the User shall exercise sufficient care to prevent the loss or alteration of information held by the User and any malfunction of or damage to the device. The Operator assumes no liability for any such damage incurred by the User.
Ownership of Rights

All ownership rights and Intellectual Property Rights relating to the App and the Service belong to the Operator or to persons that have licensed such rights to the Operator. Except as expressly provided in these Terms, permission to use the Service based on registration under these Terms does not constitute an assignment of or license to any Intellectual Property Rights of the Operator or its licensors relating to the App or the Service. The User shall not, for any reason, engage in any conduct that may infringe such rights, including, without limitation, disassembly, decompilation, or reverse engineering.

Intellectual Property Rights in text, images, videos, and other data posted or otherwise transmitted by a User through the App or the Service (the “Posted Information”) belong to the User. However, the Operator may use the Posted Information freely and without charge solely for the purpose of improving the quality of the Service, including by reproducing, copying, modifying, sublicensing to third parties, and otherwise using the Posted Information in any manner.
Suspension and Termination
- The Operator may, without prior notice or demand, temporarily suspend a User’s use of the Service or terminate the Service Agreement with the User if any of the following circumstances applies:
(1) The User violates any provision of these Terms.
(2) Any Registration Information is found to be false.
(3) The User uses or attempts to use the Service for a purpose or in a manner that may cause damage to the Operator, another User, an External SNS Provider, or any other third party.
(4) The User is no longer able to receive a service or integration from an External SNS Provider due to a violation of the External SNS Terms or for any other reason.
(5) The User interferes with operation of the Service by any means.
(6) The User suspends payment or becomes insolvent, or a petition is filed to commence bankruptcy, civil rehabilitation, corporate reorganization, special liquidation, or any similar proceeding with respect to the User.
(7) A check or bill issued or accepted by the User is dishonored, or the User becomes subject to a suspension of transactions by a clearinghouse or a similar measure.
(8) A petition is filed for seizure, provisional seizure, provisional disposition, compulsory execution, or auction.
(9) The User becomes subject to collection proceedings for delinquent taxes or other public charges.
(10) The User dies or becomes subject to an adjudication commencing guardianship, curatorship, assistance, or another form of legal protection.
(11) The User does not use the Service for two months or more and does not respond to communications from the Operator.
(12) The User falls within any item of Article 3, paragraph 3.
(13) The Operator otherwise determines that continued registration of the User would be inappropriate.

If any circumstance described in the preceding paragraph occurs, the User automatically forfeits the benefit of time with respect to all obligations owed to the Operator and shall immediately perform all such obligations.

The User may terminate the Service Agreement at any time by notifying the Operator in the manner specified by the Operator.

The Operator may terminate the Service Agreement at any time by providing the User with at least seven days’ prior notice.

The Operator assumes no liability for damage incurred by a User as a result of any action taken by the Operator under this Article.
Disclaimer of Warranties and Limitation of Liability

The Operator has no obligation to become involved in communications between Users and makes no warranty regarding the content of such communications, disputes between Users, or the actual identity of any User. The Service is provided on an “as is” basis, and the Operator makes no warranty of any kind, including any warranty of fitness for a particular purpose, merchantability, completeness, or continuity.

Even if a User obtains information directly or indirectly from the Operator concerning the Service, the App, another User, or any other matter, the Operator makes no warranty beyond those expressly stated in these Terms.

The Service may be integrated with an External SNS Service, but the Operator does not warrant such integration and assumes no liability if integration is unavailable.

If the Service is integrated with an External SNS Service, the User shall comply with the External SNS Terms at the User’s own expense and responsibility. The Operator assumes no liability for any dispute between the User and the External SNS Provider operating that service.

The User shall, at the User’s own expense and responsibility, determine whether use of the Service complies with the laws and regulations and the internal rules of industry organizations applicable to the User. The Operator makes no warranty regarding such compliance.

Any transaction, communication, or dispute arising between a User and another User, an External SNS Provider, or any other third party in connection with the Service or the App shall be handled and resolved at the User’s responsibility. The Operator assumes no liability for any such matter.

The Operator assumes no liability for damage arising from any interruption, suspension, termination, unavailability, or modification of the Service; deletion or loss of a User’s messages or information; cancellation of a User’s registration; loss of data or malfunction of or damage to equipment resulting from use of the Service; or any other circumstance relating to the Service.

Even if the App contains a link to another website or another website contains a link to the App, the Operator assumes no liability for any such website or any information obtained from it, regardless of the reason.

The Operator may disclose Registration Information, Posted Information, IP addresses, and other information concerning a User pursuant to a law or an order, demand, or request from a court, investigative agency, or other governmental authority, and assumes no liability for damage arising from such disclosure.

If the Operator suspects that a User is engaging in conduct falling within any item of Article 6, paragraph 1, the Operator may review messages and other information transmitted and received by the User, and the User will be deemed to have consented to such review.

The Operator assumes no liability for any damage incurred by a User in connection with the Service. Even if the Operator is liable to compensate a User due to the application of the Consumer Contract Act of Japan or for any other reason, the maximum amount of the Operator’s liability is 1,000 Japanese yen.
User Indemnification

If a User causes damage to the Operator by violating these Terms or in connection with use of the Service, the User shall compensate the Operator for that damage.

If a User receives a claim from another User, an External SNS Provider, or any other third party in connection with the Service, or a dispute arises with any such party, the User shall immediately notify the Operator, handle and resolve the claim or dispute at the User’s own expense and responsibility, and report its progress and outcome to the Operator upon request.

If the Operator receives a claim from another User, an External SNS Provider, or any other third party due to infringement of rights or for any other reason in connection with the User’s use of the Service, the User shall reimburse the Operator for any amount that the Operator is required to pay to the third party as a result of that claim.
Confidentiality

In these Terms, “Confidential Information” means all information concerning the Operator’s technology, sales, operations, finances, organization, and other matters that is provided or disclosed to, or otherwise learned by, a User in connection with the Service Agreement or the Service, whether in writing, orally, through recording media, or by any other means. Confidential Information does not include information that (1) was publicly known or already known to the User when it was provided, disclosed, or learned; (2) became publicly known through publication or otherwise after it was provided, disclosed, or learned, through no fault of the User; (3) was lawfully obtained without a duty of confidentiality from a third party authorized to disclose it; (4) was independently developed without using Confidential Information; or (5) was confirmed in writing by the Operator as information that need not be treated as confidential.

The User may use Confidential Information only for the purpose of using the Service and must not provide, disclose, or divulge it to any third party without the Operator’s prior written consent.

Notwithstanding paragraph 2, the User may disclose Confidential Information pursuant to a law or an order, demand, or request from a court or governmental authority. In such a case, the User shall notify the Operator without delay.

Before reproducing any document or magnetic recording medium containing Confidential Information, the User shall obtain the Operator’s prior written consent and shall manage all copies with the same degree of care required under paragraph 2.

At the Operator’s request, the User shall, without delay and in accordance with the Operator’s instructions, return or destroy the Confidential Information, all documents and other media containing Confidential Information, and all copies thereof.
Term
The Service Agreement takes effect on the date the User agrees to these Terms and remains in effect between the Operator and the User until the earlier of the date the Service Agreement terminates or the date provision of the Service ends.
Changes to the Service and These Terms

The Operator may modify the content of the Service at its discretion.

The Operator may modify these Terms, including any rules and regulations concerning the Service posted within the App. If these Terms are modified, the Operator will notify Users of the substance of the modification. If, after receiving such notice, a User uses the Service or does not complete the registration cancellation procedure within the period specified by the Operator, the User will be deemed to have agreed to the modification.
Contact and Notices
Inquiries concerning the Service and other communications or notices from a User to the Operator, as well as notices of modifications to these Terms and other communications or notices from the Operator to a User, shall be made in the manner specified by the Operator.
Assignment of Rights under These Terms

Without the Operator’s prior written consent, a User may not assign, transfer, create a security interest in, or otherwise dispose of in favor of a third party the User’s position under the Service Agreement or any rights or obligations under these Terms.

If the Operator transfers the business relating to the Service to another company, the Operator may transfer to the transferee, as part of that business transfer, its position under the Service Agreement, its rights and obligations under these Terms, Users’ Registration Information, and other customer information. Users consent in advance to any such transfer. A business transfer includes not only an ordinary transfer of a business but also a company split and any other circumstance in which the business is transferred.
Survival
Article 5, paragraph 2; Article 6, paragraph 2; Article 7, paragraph 3; Articles 8 and 9; Article 10, paragraphs 2 and 5; Articles 11 through 13; Articles 17 through 19; and Article 21 survive termination of the Service Agreement.
Governing Law and Jurisdiction
These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction as the court of first instance over all disputes arising out of or in connection with these Terms.
Good-Faith Consultation
If a matter not provided for in these Terms arises, or if any question arises concerning the interpretation of these Terms, the Operator and the User shall consult with each other in good faith and endeavor to resolve the matter promptly.
Language
If there is any inconsistency between the Japanese version of these Terms and any translation, the Japanese version shall prevail.
